Administrative Rule no. 1428-A/2001, of December 17 approved new wording for number 2 of article 20 of the Regulation of the Public Tender for the grant of four national licenses for International Mobile Telecommunications Systems (IMT2000/UMTS), approved in the annex to the Administrative Rule no. 532-A/2000, of July 31, extending the deadline therein established to March 31, 2002.

Considering that OPTEP - Sociedade Gestora de Participações Sociais, S.A. has an indirect shareholding equivalent to over 10% of the share capital of both ONI WAY - Infocomunicações, S.A. and OPTIMUS - Telecomunicações, S.A., and that both providers have been licensed to operate UMTS systems;

Establishing provisions for the possibility that the company ONI WAY - Infocomunicações, S.A. may start its activity in the mobile telephone market during the first quarter of 2002;

Aware of the need to uphold effective competition between the licensed operators for the provision of mobile telephone services, the following is decided:

1º. ONI WAY - Infocomunicações, S.A. may not start its activity in the mobile telephone market until 30 days after the date of effective transfer of ownership of the shareholding held by OPTEP - Sociedade Gestora de Participações Sociais, S.A. in the share capital of OPTIMUS - Telecomunicações, S.A.

2º. OPTEP - Sociedade Gestora de Participações Sociais, S.A. must suspend the company rights it holds in OPTIMUS - Telecomunicações, S.A between December 19, 2001 and the date of effective transfer of ownership of its shareholding in the share capital of OPTIMUS - Telecomunicações, S.A.
