Novis/Optimus merger - Transmission of rights of use of frequencies and numbers


ANACOM gave approval on 24 October 2007 to the decision on the request for authorisation in respect of the transmission to NOVIS of frequency and usage rights that were granted to OPTIMUS. This request was submitted by SONAECOM, SGPS, and is based on this group's intention to merge the two companies, by incorporating OPTIMUS  into NOVIS.

Under the terms of this decision, authorisation is granted for the transmission to NOVIS of frequency and usage rights that were granted to OPTIMUS for the provision of the land mobile service and for the operation of the international telecommunications system (IMT2000/UMTS). This authorisation is granted without prejudice to the need for guaranteeing compliance with the obligation for effective frequency use.

The authorisation is also subject to NOVIS complying with the obligation to implement an account-separation and organized cost accountancy system for the NOVIS unit which will take on the responsibility of providing mobile communications networks and services. This system shall be in accordance with the system to which OPTIMUS is currently committed under the terms of ANACOM's determination of 25 February 2005 (enforcement of obligations in the wholesale market for voice call termination in individual mobile networks).

OPTIMUS is further authorised, without prejudice to the need for guaranteeing compliance with the obligation for effective use, to transmit to NOVIS the usage rights of various numbers of the National Numbering Plan.

The report on the prior hearing forms an integral part of this determination. This hearing was held further to the determination of 19 September 2007 which gave approval to the corresponding draft decision.
