Merger Novis/Optimus - Transfer of rights of use for frequencies and for numbers


ANACOM  has approved a draft decision on the request for authorisation to transfer rights of use for frequencies and for numbers allocated to OPTIMUS to NOVIS TELECOM, regarding a possible operation by which the two companies would merge, through the takeover of OPTIMUS by NOVIS TELECOM.

Under this draft decision, adopted on 19 September 2007, OPTIMUS is authorized to transfer its rights of use for frequencies for the provision of land mobile service and for the operation of the international telecommunications system (IMT2000/UMTS), without prejudice to the need to guarantee compliance with the obligation to use such frequencies effectively. This authorization is subject to the compliance by NOVIS TELECOM of the obligation to implement an accounting segregation system and an organized cost accounting system to be used by the unit that is made responsible, within the acquiring company, for the provision of mobile communications networks and services.

OPTIMUS shall also be authorized to transfer to NOVIS TELECOM the rights of use for several numbers within the National Numbering Plan, without prejudice to the need to guarantee compliance with the obligation to use such numbers effectively.

Having been previously received the opinion of the Competition Authority on the matter, under the law, this draft decision has been now submitted to the prior hearing of OPTIMUS and NOVIS TELECOM, a deadline of 10 working days having been set for the companies to submit their opinions in writing.
